1. DEFINITIONS
The following terms apply throughout this agreement:
"Licensor" refers to J.ROBB, operating under the legal entity Affinity Marketing Media Group, LLC.
"Licensee" refers to the individual who purchased this product. This license is granted to a single user only and is non-transferable.
"One-Shots" refers to all individual, single-hit audio files contained in this product, including but not limited to kicks, snares, hi-hats, percussion hits, 808s, fills, and any other isolated single-hit sounds.
"Loop Content" refers to all drum loops, melodic loops, and MIDI files contained in this product.
"Sample(s)" refers collectively to all One-Shots and Loop Content included in this product.
"Recording" refers to any new, original musical composition created by the Licensee that incorporates one or more Sample(s) in combination with other sounds.
"Minor Release" refers to any Recording released independently or through a label that does not qualify as a Major Label or Large Indie Label, and which does not exceed 2,000,000 aggregate streams.
"Major Release" refers to any Recording distributed through a Major Label, a Large Indie Label, or any Recording that surpasses 2,000,000 aggregate streams across all platforms combined.
"Major Label" refers to SonyBMG, Universal Music Group (UMG), Warner Music Group (WEA), and any of their subsidiaries, affiliates, or imprints.
"Large Indie Label" refers to any independent label with annual revenue exceeding $10,000,000 USD, or any label distributed directly through a Major Label's distribution arm.
2. LICENSE GRANT
In exchange for full payment of the applicable License Fee, the Licensor grants the Licensee a non-exclusive, non-transferable, perpetual right to use the purchased Sample(s) in combination with other sounds to create original Recordings, which shall be considered derivative works as defined under the United States Copyright Act (17 U.S.C. § 101 et seq.).
This license permits the Licensee to modify, reproduce, publicly perform, distribute, transmit, and otherwise use the Sample(s) solely as incorporated into a finished Recording, including for commercial purposes, subject to all restrictions and conditions set forth in this agreement.
This license is issued to the purchasing individual only. It may not be transferred, sublicensed, shared, or reassigned to any other person or entity under any circumstances.
3. ONE-SHOTS — ROYALTY FREE
All One-Shots included in this product are fully royalty free. The Licensee may use One-Shots in any Recording — including Minor Releases, Major Releases, and sync placements — without any stream thresholds, clearance requirements, publishing obligations, credit requirements, or additional fees of any kind.
All commercial usage terms set forth in Section 5 apply exclusively to Loop Content. One-Shots are entirely exempt from Section 5.
4. RESTRICTIONS
Regardless of file type, the Licensee may not:
- Use or sublicense any Sample in isolation as a standalone sound effect, or as source material for any other sample pack, drum kit, loop pack, sound library, preset bank, or MIDI pack of any kind — whether free or commercial
- Redistribute, repackage, resell, lease, loan, share, or transfer any Sample to any third party except as incorporated into a finished Recording
- Use the name, image, likeness, voice, or trademarks of J.ROBB or Affinity Marketing Media Group, LLC in any context without prior express written permission from the Licensor
- Claim authorship, ownership, or copyright of any Sample in its original form or in any minimally altered form that does not constitute an original creative work
- Use any Sample — in whole or in part — to train, fine-tune, test, or otherwise develop any artificial intelligence system, machine learning model, generative audio model, or related technology, for any purpose including but not limited to commercial, non-profit, personal, or research use
- Mint, tokenize, auction, or sell any Sample or minimally altered version of any Sample as a non-fungible token (NFT) or any other blockchain-based or digital asset
5. COMMERCIAL USAGE — LOOP CONTENT ONLY
The following terms apply exclusively to Loop Content (drum loops, melodic loops, and MIDI files). One-Shots are fully exempt from this section per Section 3.
5a. Minor Releases
The Licensee may use Loop Content in personal projects, independent releases, beat tapes, and mix tapes that meet all of the following conditions:
- The Recording is not distributed through a Major Label or Large Indie Label; and
- The Recording does not exceed 2,000,000 aggregate streams across all digital streaming platforms and services combined (including but not limited to Spotify, Apple Music, YouTube, Tidal, Amazon Music, and SoundCloud)
Minor Releases carry no additional cost beyond the original License Fee, and no publishing split or credit is required.
5b. Major Releases
For any Recording that qualifies as a Major Release — whether by label affiliation or by surpassing 2,000,000 aggregate streams — the Licensee is required to:
(a) Contact the Licensor at goat@jrobb.world promptly prior to release, or immediately upon reaching the 2,000,000 aggregate stream threshold, whichever comes first
(b) Negotiate in good faith a publishing split not to exceed 5% of the writer's share of net publishing income attributable to the Recording, or alternatively a mutually agreed upon flat clearance fee confirmed in a separate written agreement signed by both parties
(c) Provide J.ROBB with a Co-Producer credit on all associated singles, albums, EPs, liner notes, digital metadata, advertisements, and any other materials wherever technically and contractually permitted
Failure to seek clearance upon reaching Major Release status constitutes a material breach of this agreement and may result in license termination under Section 11.
5c. Sync Licensing
Use of any Loop Content in any synchronization context — including but not limited to television, film, advertising, trailers, video games, branded content, and social media campaigns — requires separate written clearance from the Licensor, regardless of release size or aggregate stream count.
The Licensee must contact goat@jrobb.world prior to any sync placement to negotiate applicable terms. One-Shots do not require sync clearance.
6. MIDI FILES
MIDI files included in this product are provided as compositional tools only. Purchase of this product does not transfer copyright of any melody, chord progression, harmonic sequence, or rhythmic pattern contained within any MIDI file to the Licensee. All underlying compositional rights to MIDI content are retained exclusively by the Licensor. MIDI files are subject to all Loop Content terms in Section 5.
7. YOUTUBE & CONTENT ID
The Licensor will not register the Sample(s) in this product with YouTube Content ID, DistroKid Neighboring Rights, or any equivalent rights management or content claiming system in a manner that would block, monetize, or dispute Recordings created by Licensees in compliance with these terms.
This commitment applies to Loop Content and One-Shots alike. However, the Licensee acknowledges that any third-party sampled or interpolated material that may be embedded within Loop Content could be subject to separate claims by those third-party rights holders, which are entirely outside the Licensor's control.
8. OWNERSHIP
All Sample(s) remain the sole and exclusive intellectual property of J.ROBB / Affinity Marketing Media Group, LLC. Purchase of this product conveys only the limited license rights expressly stated in this agreement. No ownership, copyright, master rights, or any other intellectual property rights in the Sample(s) are transferred to the Licensee under any circumstances. All rights not expressly granted herein are reserved by the Licensor.
9. NO REFUNDS
Due to the immediate and irrevocable nature of digital file delivery, all sales are final. No refunds will be issued under any circumstances once the product has been accessed or downloaded. By completing your purchase, you confirm that you have read, understood, and agreed to all terms in this agreement prior to download.
10. WARRANTY DISCLAIMER
All Sample(s) are provided "as is" without warranty of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. The Licensor makes no representations or guarantees regarding the suitability of these Sample(s) for any specific use case or creative purpose.
11. LIMITATION OF LIABILITY
To the maximum extent permitted by applicable law, the Licensor — including J.ROBB, Affinity Marketing Media Group, LLC, and any of their officers, agents, or representatives — shall not be liable for any indirect, incidental, consequential, punitive, or special damages of any kind arising from or related to the use or inability to use these Sample(s), even if the Licensor has been advised of the possibility of such damages.
12. TERMINATION
This license terminates automatically and without notice upon any material breach of these terms by the Licensee. Upon termination, the Licensee must immediately cease all use of the Sample(s) and permanently destroy all copies in their possession or control. Recordings that were fully completed and commercially released prior to the date of termination may continue to be distributed solely under the terms that were active at the time of their original release.
13. ENTIRE AGREEMENT
This agreement constitutes the entire agreement between the Licensor and the Licensee with respect to the Sample(s) and supersedes all prior communications, representations, or agreements, whether written or oral, relating to the subject matter hereof.
14. GOVERNING LAW & DISPUTES
This agreement shall be governed by and construed in accordance with the laws of the State of Maryland, without regard to its conflict of law provisions. Any dispute, claim, or controversy arising out of or relating to this agreement shall be subject to the exclusive jurisdiction of the courts of the State of Maryland. In the event of any legal proceeding arising from a breach or alleged breach of this agreement, the prevailing party shall be entitled to recover reasonable attorney's fees and court costs.
15. SEVERABILITY
If any provision of this agreement is found to be invalid, illegal, or unenforceable under applicable law, the remaining provisions shall continue in full force and effect without modification.
